LUNCHEON CANCELLATION POLICY In order to maintain the current, low WEC membership cost,  we have had to implement a new policy regarding members who RSVP for a  luncheon but fail to attend. Prior to each luncheon, the board  is required to submit a headcount to the restaurant manager. This headcount is a “guarantee,” which  means when members RSVP and don’t show, the club must still pay the restaurant  according to the headcount guarantee. The luncheon policy  is as follows: The first time a member RSVP’s & then does not show for  a luncheon, no cancellation fee will apply. However, within a membership year, the  second time a member RSVP’s—but then fails to show—a cancellation fee of $30  will be applied.

Enjoy Your Membership

Allison E. McCarthy
Topic: Lessons Learned During the Current Economic Turmoil

As a transactional attorney, I've always known that clear, complete and carefully thought out contracts help maintain good commercial relationships by eliminating doubt, uncertainty and desperation-driven litigation propensities. Think of it as similar to "good fences make good neighbors." When the parties involved in the transaction negotiate and draft documents governing their relationship in this way, they have a better chance to eliminate the need to consult the terms of the documents, as there is no dispute or ambiguity as to the terms of the relationship. Unfortunately, the economic stresses of the past few years have caused business relationships to face obstacles that were not anticipated, at least in the contracts, and the parties have been unable to overcome these deficiencies and now must deal with each other as adversaries. Through anecdotal stories from the past several years, I hope to share legal lessons that may help you avoid the unpleasant experience and the business distractions that result from disputes, litigation and bad publicity. Our discussion will include the risks in not sufficiently documenting the terms of a party's investment in your business and the effects of a landlord or tenant filing bankruptcy or the landlord's property going into foreclosure. These were not major business issues a short time ago, but let there be no doubt that times have, indeed, changed.

Allison E. McCarthy practices in the real estate section of Holland & Knight LLP and is a member of the firm's Global Hospitality, Resort, and Timeshare Group. She represents clients in all phases of real estate development, sales and acquisitions, leasing, and financing transactions. She has developed a specialized practice in representing owners, lenders, developers, operators, and hotel companies in connection with the acquisition, ground lease, financing, development, construction, operation, retail and office leasing, and disposition of mixed-use projects. She also advises her clients with respect to the structuring of joint venture arrangements for the development and operation of commercial and residential projects. In response to the current market, her recent practice has had an emphasis on commercial real estate lending workouts and loan acquisitions.

Ms. McCarthy received her B.S., with highest honors, and her Masters in accounting from the University of Florida where she was selected as an Outstanding Four-Year Scholar for her academic and leadership achievements. She earned her J.D. magna cum laude from Duke University School of Law. She has been a Florida licensed C.P.A. (currently inactive) and has practiced law at the national law firm Holland & Knight LLP for the past eight years.
